Terms and Conditions for Laminar™ PMO Software

1. Acceptance of Terms
1.1. These Terms and Conditions ("Terms") govern your access to and use of the Laminar™ PMO Software (the "Software") provided by Gravitas Consulting Services Inc. ("Company," "we," "us," or "our"). By accessing or using the Software, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, please refrain from using the Software.
2. License and Usage
2.1. We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Software solely for your internal project management and office purposes. You may not resell, sublicense, or distribute the Software to any third party.
2.2. You agree not to:
a) Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.
b) Use the Software for any unlawful purpose or in violation of these Terms.
c) Interfere with or disrupt the Software or the servers and networks connected to the Software.
d) Use the Software to transmit any harmful code, malware, or other malicious content.
3. User Registration
3.1. In order to access certain features of the Software, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated.
3.2. You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Privacy
4.1. Your use of the Software is also governed by our Privacy & Cookie Policy, which can be found at [https://www.laminarpmo.com/privacy-policy]. By using the Software, you consent to the collection, use, and disclosure of your information as described in the Privacy & Cookie Policy.
5. Intellectual Property
5.1. The Software and all related intellectual property rights are owned by Gravitas Consulting Services Inc. You are granted a limited license to use the Software, and no ownership rights are transferred to you.
6. Termination
6.1. We may terminate or suspend your access to the Software at any time, with or without cause and with or without notice, at our sole discretion. Upon termination, your right to use the Software will cease immediately.
7. Disclaimers and Limitation of Liability
7.1. The Software is provided "as is" and "as available" without warranties of any kind, whether express or implied.
7.2. To the extent permitted by law, we shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use or inability to use the Software.
8. Modifications to the Terms
8.1. We reserve the right to update or modify these Terms at any time without notice. You are responsible for regularly reviewing these Terms. Your continued use of the Software after any changes constitute your acceptance of the modified Terms.
9. Governing Law and Dispute Resolution
9.1. These Terms are governed by and construed in accordance with the laws of Ontario, Canada. Any disputes arising out of or in connection with these Terms shall be resolved through arbitration in accordance with the rules of the province of Ontario.
